The appointments decided by the shareholders' meeting cannot be changed by the top management of a company. Instead in Sardinia it happened and two judges had to intervene to block the operation: first the one from the business register and then the civil one. Both from Nuoro . Because the lawsuit concerned the appointments of the college of mayors of Abbanoa, which is based in the capital of Barbagia.

The story was reconstructed by the former councilor for public works of the Pigliaru junta, Paolo Maninchedda, who, when he was in office, often faced the tragedies of the water service management company. And today he writes, sarcastically: "Are we in Abbanoa or Port Royal, the capital of the Pirates of the Caribbean of the seventeenth century?".

It all started in the shareholders' meeting, therefore mayors, on 24 September 2021: among the items on the agenda there was also the election of the Board of Statutory Auditors of the Spa. The verdict: Maria Laura Vacca, Maria Giovanna Angius and Franco Pinna. The minutes must be certified by a notary. It happens on October 12 in front of Gianluigi Cornaglia from Tortolì. But the president of Abbanoa, Franco Piga, in the meantime seems to have carried out checks. And "irregularities related to the accreditation of the shareholders of the Municipality of Olbia and the Municipality of Sant'Antioco, as the originals of the proxies signed by the legal representative of each body that authorized the designated delegate to participate in the meeting, and the signing of the voting form of the shareholder Municipality of Cagliari, referable to a person other than the delegated party, duly registered and accredited ".

The president of Abbanoa, with the offices, would then have carried out the recalculation of the votes and decreed the election of Maria Laura Vacca, Franco Pinna and Francesco Salaris. The latter was then elected chairman of the supervisory body at a subsequent assembly. All poured into a report from which the notary distances himself.

The excluded from the game, Maria Giovanna Angius, is not there and presents an appeal. Having resolved some issues of territorial jurisdiction (she had gone to Cagliari, she had to turn to Nuoro) she won twice.

In the first instance, the judge of the commercial register agrees with her and cancels everything, including the appointment of Salaris as president of the college. Abbanoa goes before the ordinary court, contesting the first verdict, but the civil court dismantles the double minutes, even if he confirms Salaris as president because he was voted in another assembly.

So: the procedure decided by Piga was irregular. The public deed that contains his declarations “is not attributable to the outline of the deed required by law”.
